Elon Musk Secures $56 Billion Tesla Pay Package After Court Ruling

A Delaware appeals court has ruled in favor of tech CEO Elon Musk, clearing the way for him to receive a controversial $56 billion pay package from Tesla. The decision, issued on Friday, overturned earlier judgments in a protracted legal dispute surrounding the compensation awarded to Musk in 2018.

The Delaware Supreme Court found that the prior rulings by Chancellor Kathaleen McCormick of Delaware’s Court of Chancery were flawed. In a pair of rulings from 2024, McCormick had invalidated the pay package, which was once considered unprecedented but had since been overshadowed by Musk’s more recent compensation agreements.

The five-judge appeals panel concluded that McCormick’s order to rescind the pay package was improper. The ruling emphasized that “it is undisputed that Musk fully performed under the 2018 grant, and Tesla and its stockholders were rewarded for his work.” As a result, the court reversed the decision of the Court of Chancery regarding the rescission.

The legal battle began when Tesla shareholder Richard Tornetta challenged the pay package, claiming it was excessive. In January 2024, the court ruled against Musk after a five-day trial, describing the pay award process as “deeply flawed.” McCormick noted that the board had been susceptible to manipulation by Musk, whom she referred to as the “paradigmatic ‘Superstar CEO.'”

Despite the legal challenges, Tesla’s board has consistently backed Musk throughout the proceedings. In August 2025, they approved an interim compensation award valued at approximately $29 billion. They later unveiled a new pay package, potentially worth up to $1 trillion, which was approved by shareholders on November 6, 2025. This latest package is contingent on various performance and valuation targets.

Musk’s successful appeal highlights the ongoing complexities surrounding executive compensation and corporate governance in major companies like Tesla. The outcome not only affects Musk but also raises important questions about the balance of power between shareholders and executives in high-stakes environments.
