Boreal Gold Plans $200,000 Private Placement and AGM Announcement

Boreal Gold Inc. (CSE: BGLD) has announced plans to raise up to $200,000 through a non-brokered private placement. This financing aims to fund exploration activities and general working capital for its mineral properties located in Manitoba and Saskatchewan. The offering consists of 500,000 Flow-Through Shares priced at $0.30 each, generating $150,000 in proceeds, along with 250,000 Units at $0.20 each, contributing an additional $50,000.

The Units will include one common share and a warrant, each allowing purchase of an additional common share at $0.20 for a period of 24 months following the closing date. The offering is contingent upon obtaining necessary regulatory approvals, and all securities issued will be subject to a four-month hold period in Canada.

Boreal Gold plans to allocate these funds for ongoing work on its key properties, which include the North Star, Fay Lake, and Melgurd Lake sites.

Details on Boreal Gold’s Properties

The Fay Lake Property, located 25 km northeast of Flin Flon, Manitoba, consists of 17 contiguous claims covering 2,719 hectares. The site is adjacent to Hudbay Minerals’ Vamp Lake copper-zinc-gold property and has approximately 5 km of mapped Volcanogenic Massive Sulfide (VMS) horizons similar to those at Vamp Lake.

Further geological assessments revealed a 9 km shear structure containing mineralization akin to the Puffy Lake Gold deposit, with samples returning grades of up to 14.33 g/t Au. The Melgurd property, situated northwest of Flin Flon, includes 11 mineral claims totaling 7,411 hectares, positioned north of the Shotts Lake copper-zinc VMS deposit.

Recent airborne magnetic and electromagnetic surveys have indicated promising trends in the area, with prospecting and mapping efforts in 2023 and 2024 uncovering significant garnet and anthophyllite alterations associated with gossans.

The North Star Group property, which encompasses 2,922 hectares across 21 contiguous claims, is located 50 kilometers west of Snow Lake, Manitoba. It comprises three key properties: the North Star Gold Property, the Gold Rock Mining Lease, and the Sewell Lake Critical Metals Property. This area is strategically positioned within the same geological framework as Hudbay Minerals’ Rail Zone Copper Deposit.

Future Exploration Plans

Boreal Gold intends to implement a comprehensive exploration program across the Fay Lake, North Star, and Melgurd Lake properties from 2025 to 2026. This program will focus on drilling identified targets that have been substantiated through extensive airborne and ground geophysical analyses, geological mapping, and sampling conducted between 2023 and 2025.

One component of the exploration will include ground geophysical surveys over previously unfocused sections of the Fay Lake grid, aimed at confirming airborne conductors. The company is also set to carry out geological remapping and detailed sampling of areas to enhance data quality for ongoing projects.

In addition to exploration efforts, Boreal Gold has scheduled an annual and special meeting for shareholders on February 6, 2026, with a record date of January 2, 2026.
